[Remote] Commercial Transactions Counsel - Dynamic Asset Manager (Remote 4 days)

Note: The job is a remote job and is open to candidates in USA. JW Michaels & Co. is a dynamic asset manager seeking to hire an attorney with commercial contracts experience. The role involves providing legal advice on corporate and commercial matters, drafting and negotiating agreements, and supporting corporate transactions while collaborating with various business functions.


Responsibilities

  • Provide legal advice and guidance across a broad range of corporate and commercial matters affecting the business
  • Draft, review and negotiate a variety of commercial agreements, including master services agreements, SaaS agreements, consulting agreements, vendor and marketing agreements, data and IP licensing agreements, NDAs and strategic collaboration agreements
  • Support corporate transactions, including mergers, acquisitions, strategic investments, financings and related documentation and due diligence activities
  • Assist with public company and corporate governance matters, including board and committee materials, SEC reporting support and corporate recordkeeping
  • Conduct legal research and analysis to ensure compliance with applicable laws and regulations, including evolving and emerging legal frameworks such as data privacy, artificial intelligence and other emerging technologies
  • Collaborate closely with internal stakeholders across business, finance, compliance, technology and operations teams and across other legal teams within the business
  • Manage outside counsel on discrete matters and transactions as needed
  • Contribute to the development and improvement of internal legal processes, templates and policies to support scalability and efficiency

Skills

  • J.D. from an accredited law school
  • Admitted to practice law in New York and in good standing
  • 5+ years of corporate legal experience, including significant law firm experience; in-house experience preferred but not required
  • Strong experience drafting and negotiating commercial agreements with the ability to manage matters independently
  • Solid understanding of general corporate, transactional and regulatory matters
  • Ability to manage multiple matters simultaneously in a fast-paced environment
  • Keen interest in learning other areas of law and having an opportunity to work on many different types of legal matters and business initiatives
  • Excellent written and oral communication skills with strong attention to detail and analytical rigor
  • Law firm plus in-house experience preferred, but they are open to looking at law firm candidates who have strong experience drafting and negotiating commercial agreements
