Job Details M&A Attorney (Hybrid/Remote) We are a Business Law Firm serving Government Contractors and Commercial Businesses, seeking an attorney with 4+ years of experience to join its Business & Transactions practice group. QUALIFICATIONS: • 4-6+ Years of Commercial & Transactional M&A experience with Clients that are Government Contractors. • Experience with entity formation and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions is a plus. • M&A and Corporate experience with government contractors is also a plus, but not a requirement. • Licensed Attorney Required. Preferred Applicants with Bar Admission in the District of Columbia, Maryland and/or Virginia or eligibility for prompt admission. DUTIES: • Assisting in drafting, and negotiating purchase agreements, financing agreements, and other transaction documents, and assisting in due diligence and closings. • Support a deal team in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, financing rounds from individual investors as well as private equity and venture capital firms, and executive compensation and synthetic equity offerings.
