Corporate Transactions & Compliance Manager | Hybrid, Kansas City

This position will be hired within the Kansas City metro and will report into the office 3 days a week. The Corporate Transactions & Compliance Manager is responsible for providing assistance with all M&A matters, Corporate/Board governance, stock option and general compliance matters under the supervision of the EVP & General Counsel. How you'll make an impact: Assist EVP & General Counsel with managing all M&A matter, including due diligence, acquisitions and post-acquisition duties. Assist EVP & General Counsel with all areas of corporate governance, including Board governance. Assist EVP & General Counsel with Company stock option program. Assist EVP & General Counsel with Company insurance portfolio. Develop solutions to a variety of complex problems and provide assistance to internal stakeholders regarding corporate governance and/or Compliance ensuring consistency with established company practices. Assist EVP & General Counsel in setting up an extensive Corporate Compliance program. Performs other duties as assigned. What we're looking for: High school diploma or general education degree (GED) required Bachelor’s Degree (B.A.) from four-year college or university, commensurate experience and/or training, or equivalent combination of education and experience required. Paralegal certificate or equivalent certification such as CFCM, CCCM, or CPCM preferred. Moderate knowledge of information technology commodities, risks, and relationships required. Proficient in capability to understand, analyze, and interpret legal/contractual language and summarize findings in concise, articulate manner required. Exhibits attention to detail and the ability to organize and prioritize work required. Possesses the ability to adapt to changes, delays, or unexpected shifts in priorities while maintaining focus and productivity in a high-volume environment required. Ability to make changes in approach or method to best fit the circumstance required. Possesses a high degree of quality, integrity, and accountability for work product with demonstrated decision making skills and the ability to obtain results required. Must be proactive and take initiative in achieving both person and team objectives. Ability to communicate professionally at all levels of the organization. Excellent writing, communication, organization, and time management skills required. Ability to positively interact with personnel in a team environment required. Ability to read and comprehend simple instructions, short correspondence, and memos. Ability to effectively present information in one-on-one and small group situations to customers, clients and other employees of the organization. Strong written and verbal communication skills are a must. Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume. Ability to apply concepts of basic algebra and geometry, including concepts such as fractions, percentages, ratios, and proportions. Ability to apply commonsense understanding (understanding that a reasonable person would have) to carry out instructions furnished in written, oral, or diagram form.
